Terms of Service
Last updated: 14 September 2026. These Terms govern your access to and use of the NOVARA website and platform. Please read them carefully before using the Service. The Service is operated by the NOVARA platform team on behalf of the School and its Authorised Users (together and separately, "you", "your"). References to "we", "us" and "our" mean the NOVARA platform operator you are dealing with under this agreement.
1. Introduction
Welcome to NOVARA. These Terms of Service ("Terms") form a legally binding agreement between you ("you", "your", "School", or "Authorised User") and the entity operating NOVARA (together "we", "us", "our") in respect of your access to and use of the NOVARA website, the NOVARA school management application, and any related services (together, the "Service").
By creating an account, purchasing a subscription, or otherwise accessing or using the Service, you acknowledge that you have read, understood and agree to be bound by these Terms. If you are entering into these Terms on behalf of a school or other organisation, you represent that you have the authority to bind that organisation to these Terms.
2. Definitions
- ·"Platform": means the NOVARA web dashboard, mobile applications and any associated interfaces made available to you.
- ·"Tenant": means the isolated workspace provisioned for your school, within which your data and configuration live separately from every other school.
- ·"Subscription": means a paid plan giving the school access to the Platform for a defined period (Monthly or Annual).
- ·"Authorised Users": means administrators, teachers and other staff whom the School admin authorises to access the Platform.
- ·"Student Data": means personal and academic records of students maintained by the School on the Platform.
- ·"Payment Services": means third-party payment processing (including Razorpay) used to collect Subscription fees and, where enabled, school fee payments.
3. The Service
NOVARA provides a multi-tenant school management platform covering admissions, attendance, fees, exams and results, timetables, parent communication, online learning, messaging, transport tracking and related administrative workflows. Each School is provisioned as an isolated Tenant, and we take reasonable technical and organisational measures to prevent one Tenant from accessing another’s data.
We may add, change, improve or remove features of the Service from time to time. Features introduced while your Subscription remains active are provided under these Terms unless we notify you otherwise.
4. Accounts, credentials and eligibility
- ·You must be at least 18 years old and authorised to register a school on the Platform.:
- ·When your Subscription is created, we generate or receive administrator credentials. You are responsible for safeguarding all credentials and for every activity carried out under your account.:
- ·You must provide accurate and current information about your school, the administrator and billing details, and must update this information as it changes.:
- ·Authorised Users act under the School account. The School is responsible for its users’ activities on the Platform.:
5. Free trial
Where a free trial is offered, it begins when your Tenant is provisioned and continues for the trial period stated on the Platform or at checkout (by default 30 days). During the trial the School gets full access to the Platform at no charge.
No card is charged during the trial. If you do not cancel before the trial ends, the Service will proceed to the paid Subscription in accordance with the billing details provided at checkout. You can cancel during the trial to avoid any charge.
6. Subscriptions and billing
- ·Plans are priced per student per month as shown on the Pricing page and at checkout, and are billed either Monthly or Annual. Annual plans carry the discounted rate shown at checkout.:
- ·Subscriptions renew automatically for successive billing periods of the same cycle until cancelled in accordance with these Terms.:
- ·Subscription fees are payable in Indian Rupees and are collected through a PCI-DSS compliant payment gateway (currently Razorpay in test/live onboarding). You authorise us and the gateway to collect recurring charges using the payment method you provide.:
- ·You may upgrade or downgrade your plan from the Platform. Changes are applied on a prorated basis from the date the change is made.:
- ·If a recurring charge fails, we will notify you and follow the retry and grace processes described on the Platform; access continues during the grace period in accordance with our published policy before restricted access applies.:
- ·School-level fee collection (where enabled) uses the applicable payment rails agreed for the School, and related transaction charges are applied and communicated to the School separately.:
7. Cancellation and refunds
- ·You may cancel your Subscription at any time from the Platform. Cancellation applies at the end of the then-current billing period; you keep access until the paid-through date.:
- ·Refunds are issued at our discretion. New Subscriptions that are cancelled within an unused portion of a billing period may receive a partial refund within 7–14 days of the refund request being approved.:
- ·Trial-period cancellation does not result in any charge and does not require a refund.:
8. Your data and content ownership
You own all data and content your School uploads to the Platform, including Student Data, staff records and documents. We do not claim ownership of your data. You grant us a limited licence to host, process and transmit your data solely to provide the Service, maintain security, and comply with law.
We process data as a processor on your instructions and handle it in line with our Privacy Policy and the Digital Personal Data Protection Act, 2023 (India) where applicable. On request, we will export or delete your data in accordance with these Terms and our Privacy Policy.
9. Acceptable use
- ·You must not use the Service for any unlawful purpose or in violation of any applicable law or regulation.
- ·You must not attempt to access, scan or probe another Tenant, another user’s account, or our systems beyond the permissions granted to you.
- ·You must not trigger, or attempt to trigger, unauthorised intake traffic, or bypass or interfere with security, rate limits or access controls.
- ·You must not submit content that is unlawful, defamatory, infringing, harmful to minors, or that violates the rights of any person.
- ·You must not reverse engineer, decompile or derive the source code of the Platform, except to the extent permitted by applicable law.
- ·We may suspend or terminate access, without prejudice to our other rights, where we reasonably believe these Terms have been breached.
10. Intellectual property
Intellectual property in the Platform, including its design, code, branding and documentation, belongs to us (or our licensors). Use of the Service does not transfer any intellectual property ownership to you. Your use is limited to the rights expressly granted under these Terms.
11. Application availability
We aim to provide a reliable Service but do not guarantee uninterrupted or error-free operation at all times. Planned maintenance, network conditions, third-party outages and other factors may cause temporary unavailability.
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.
12. Limitation of liability
To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential or punitive damages, loss of profits, revenue, goodwill or data, arising out of or in connection with your use of the Service, even if advised of the possibility of such damages.
Our total aggregate liability to you for any claim arising under or in connection with these Terms is limited to the amount you actually paid us in the three (3) months preceding the event giving rise to the claim.
13. Indemnification
You agree to indemnify and hold us and our officers, directors, employees, agents and processors harmless against any claim, loss, damage, liability or expense (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Service, or your violation of any law or the rights of a third party.
14. Suspension and termination
We may suspend access with notice where we reasonably believe the Service is being misused, your account has been compromised, or payment obligations remain overdue. We will use reasonable efforts to notify you and provide a reasonable opportunity to resolve the issue before permanent action is taken.
We may terminate your Subscription where you materially breach these Terms and fail to remedy the breach within a reasonable period after notice, or where continued provision is prohibited by law.
On termination, you may export your data during a reasonable transition period, after which your data will be handled as described in our Privacy Policy.
15. Third-party services
The Service integrates with third-party providers including payment gateways and, where applicable, messaging and analytics services. Your use of those services is governed by their respective terms. We are not responsible for acts or omissions of third-party providers beyond our reasonable control.
16. Privacy
Our handling of personal information is described in our Privacy Policy, which forms part of these Terms. By using the Service you agree to our collection and use of information as described there.
17. Changes to these Terms
We may update these Terms from time to time to reflect changes in the Service or the law. We will notify you of material changes by email or in-app notice at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
18. Governing law and jurisdiction
These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka, except where mandatory law provides otherwise. Nothing in these Terms limits any right you may have under applicable consumer protection law.
19. Severability and entire agreement
If any provision of these Terms is held to be invalid or unenforceable, that provision will be read down to the minimum extent necessary, and the remaining provisions will remain in full force and effect. These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service.
